Terms of Service

Effective Date: May 17, 2026

These Terms govern your use of tennesseeregisteredagent.co (the "Site") and the registered agent services ("Services") provided by Tennessee Registered Agent.co ("we," "us," or "our"). By using the Site or purchasing Services, you agree to these Terms.

1. Services Provided

Tennessee Registered Agent.co delivers registered agent services in Tennessee:

• Maintaining a physical Tennessee street address designated as your registered agent address
• Accepting service of process and official documents during business hours (Mon-Fri, 9am-5pm ET)
• Scanning and emailing received documents to you, typically same business day
• Sending compliance reminders for annual reports, franchise tax, and excise tax deadlines
• Providing online portal access to stored documents

2. Eligibility

You must be 18+, authorized to bind the business entity being registered, and provide accurate enrollment information.

3. Pricing

• Service is $99 per year
• Due at enrollment and each annual renewal
• We accept credit cards and other displayed payment methods
• Prices may change with 30 days notice before your next renewal
• Unpaid accounts may be suspended after reasonable notice

4. Term and Renewal

Runs from enrollment date, renews annually unless cancelled. We send advance renewal reminders.

5. Cancellation

• Cancel any time: support@tennesseeregisteredagent.co
• Takes effect at end of current paid term
• No partial refunds except at our discretion
• You must designate a replacement agent with the Tennessee Secretary of State

6. Your Obligations

• Maintain accurate business and contact information
• Notify us of name changes, dissolutions, or relocations
• Act on forwarded documents promptly
• Keep your entity in good standing with Tennessee
• Appoint a new agent if you leave our service

7. Document Handling

• Accepted during business hours
• Scanned and forwarded same business day when possible
• We are not responsible for legal implications or deadlines of received documents
• Originals retained temporarily, then securely destroyed

8. No Legal Advice

Tennessee Registered Agent.co is not a law firm. We do not provide legal, tax, or formation advice. Registered agent functions only. Consult an attorney for legal matters.

9. Liability Limits

• Maximum liability: fees paid in prior 12 months
• No liability for indirect, incidental, special, consequential, or punitive damages
• No liability for delays from force majeure, postal issues, or state processing

10. Indemnification

You indemnify us against claims, damages, or expenses (including attorney fees) from your use of Services or breach of these Terms.

11. Governing Law

Tennessee law governs. Disputes resolved in Tennessee courts.

12. Modifications

We may update these Terms. Posted here with new effective dates. Continued use = acceptance.

13. Severability

Unenforceable provisions do not affect the rest.

14. Entire Agreement

These Terms + our Privacy Policy = the complete agreement.
